These Buyer Terms & Conditions (“Terms”) govern the purchasing and procurement process between Rajal Industries (“Seller”) and the buyer (“Buyer”) for the procurement of goods and services. By engaging in any transaction with Rajal Industries, the Buyer agrees to abide by these Terms.
- All orders must be placed in writing, either through email or a purchase order. Verbal orders or instructions may not be accepted unless confirmed in writing.
- The Buyer is responsible for providing accurate and complete information, including specifications, quantities, delivery details, and any other relevant information necessary for the order.
- Rajal Industries reserves the right to accept or reject any order at its discretion.
- The pricing of goods and services shall be as mutually agreed upon between Rajal Industries and the Buyer. Prices are subject to change without prior notice unless otherwise specified in writing.
- Payment terms and conditions shall be agreed upon before the order is confirmed. Rajal Industries may require advance payment or issue invoices with specified payment terms.
- All payments shall be made in the agreed currency and within the specified time frame. Failure to make timely payments may result in delayed shipment or cancellation of the order.
- Delivery dates and times shall be estimated and communicated to the Buyer at the time of order placement. Rajal Industries will make reasonable efforts to adhere to the agreed-upon delivery schedule.
- The risk of loss or damage to the goods shall pass to the Buyer upon delivery. The Buyer is responsible for inspecting the goods upon receipt and notifying Rajal Industries of any discrepancies or damages within a reasonable time. .
- Any delays or issues arising from shipping, customs clearance, or force majeure events beyond Rajal Industries' control shall not be the responsibility of the Seller.
- Rajal Industries is committed to delivering goods and services of the highest quality. The Buyer has the right to inspect the goods upon receipt and notify Rajal Industries of any defects or non-conformities within a reasonable time.
- Any claims for defective or non-conforming goods must be supported by appropriate evidence and submitted to Rajal Industries in writing.
- Rajal Industries may request the return or inspection of the goods in question before determining the appropriate resolution, which may include replacement, repair, or refund at the Seller's discretion.
- The Buyer acknowledges that any intellectual property rights, including patents, trademarks, copyrights, and trade secrets, associated with the goods or services provided by Rajal Industries remain the sole property of the Seller.
- The Buyer shall not use, reproduce, modify, or disclose any intellectual property owned by Rajal Industries without the prior written consent of the Seller.
- Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of the transaction. This includes, but is not limited to, technical specifications, pricing information, and business strategies.
- Confidential information shall not be disclosed to any third party without the express written consent of the disclosing party, except as required by law.
- Either party may terminate an order or contract in the event of a material breach by the other party, subject to any applicable notice periods or remedies specified in the agreement.
- Termination shall not relieve either party of any payment obligations or liabilities incurred prior to the termination date.
- These Terms shall be governed by and construed in accordance with the laws of the jurisdiction where Rajal Industries is based.
- Any disputes arising from or in connection with these Terms shall be resolved amicably through negotiations between the parties.
- Unless otherwise agreed in writing, the Buyer is responsible for arranging and covering the costs of shipping and transportation of the goods from Rajal Industries' facility to the designated delivery location.
- The risk of loss or damage to the goods shall transfer to the Buyer upon delivery of the goods to the carrier. It is the Buyer's responsibility to obtain appropriate insurance coverage for the goods during transit.
- The Buyer has the right to inspect the goods upon receipt and shall promptly notify Rajal Industries of any defects, damages, or discrepancies. Such notification must be made within a reasonable time frame.
- Rajal Industries may request access to inspect and investigate any alleged defects or non-conformities and may require the return or retention of the goods in question for further evaluation.
- Rajal Industries warrants that all goods supplied shall be free from defects in materials and workmanship under normal use and service for a specified period, as agreed upon in writing.
- Any warranty claims must be made in writing within the specified warranty period, accompanied by supporting evidence of the alleged defect. Rajal Industries reserves the right to repair, replace, or refund the defective goods at its discretion.
- If the Buyer provides any tools, materials, or specifications required for the production of goods or provision of services, the Buyer warrants that such items are accurate, fit for the intended purpose, and do not infringe upon any third-party rights.
- Rajal Industries shall not be liable for any defects, delays, or damages resulting from the use of tools or materials provided by the Buyer.
- In cases where work is performed by Rajal Industries on the Buyer's premises, the Buyer shall provide a safe and suitable working environment, necessary facilities, and access to required information.
- The Buyer shall be responsible for any damage, loss, or injury that occurs on their premises during the course of work performed by Rajal Industries, except in cases of gross negligence or willful misconduct by Rajal Industries.
These Buyer Terms & Conditions provide a framework for a transparent and mutually beneficial relationship between Rajal Industries and the Buyer. By engaging in any transaction, the Buyer acknowledges and agrees to comply with these Terms.
